Charter of X12N/TG8 Architecture Review

Mission of Architecture Review
The mission of Architecture Review is to facilitate, assist and promote the development of ASC X12N work products by providing technical information, advice, and review of work products for workgroups and members. The information, advice, and review provided by Architecture Review will be related to compliance with X12 standards, including design rules and guidelines. The information, advice, and review will also be related to presentation of the data maintenance or other work product proposed, to include commentary and advice on content in relation to expressed business needs.

Membership
Membership in TG8 is open to all persons who qualify to be members of X12N. Membership is granted upon presentation of an oral, written, or electronic request to a TG8 co-chair. Membership is granted to the individual, not an organization.

Voting
A member of TG8 is eligible to vote on matters before TG8 after having attended two consecutive TG8 meetings at X12 trimester meetings, and attending the TG8 workgroup meetings for at least 50% of the time that such meetings are in session during the trimester meeting.

After initially qualifying for voting rights, voting rights shall be suspended if a member is not present for two out of the last three TG8 meetings at X12 trimester meetings. Presence shall consist of being present at 25% of the time that TG8 meets during such trimester meetings. Attendance at other meetings that are related to TG8 is counted as being present at TG8. Other related meetings include meetings of X12J or any component of X12J, meetings of X12XTG3, meetings of PRB, or meetings with an X12N task group or work group that has requested consultation within their meetings. Other related meetings may be defined by vote of TG8 and recorded in the meeting minutes where the vote is taken.

Officers
There shall be two co-chairs of TG8. Both co-chairs may not be members of the same X12 member organization. Co-chairs are elected by the members of TG8 for a term of two years. There is no limit to the number of terms an individual may serve as co-chair. A co-chair election will be held when the term of a co-chair expires or when a co-chair resigns.

A secretary may be appointed by the co-chairs. The secretary serves at the discretion of the co-chairs, or until resigning the position.

Voting
Voting for co-chair elections at an X12 trimester meeting shall be by voice vote or by a show of hands. A simple majority of those members of TG8 present and voting shall be needed for the election of a co-chair. If approved by a vote of TG8 members at a TG8 meeting during a trimester meeting, co-chair elections may be held electronically. TG8 co-chair elections will be announced at a trimester meeting. If elections are to be held at a trimester meeting, they will be announced at the previous meeting. If to be held electronically, they will not take place sooner than 4 weeks after the elections are announced at a trimester meeting. When elections are held at a trimester meeting, a quorum for elections shall consist of 50% of the members of TG8 with voting privileges. When held electronically, 80% of the members of TG8 must cast votes to constitute a quorum. Votes will be cast by sending an email message to the designated party to receive the votes with copies of the message directed to all voting members of TG8.

Voting to modify this charter shall follow the rules set forth for co-chair elections.

Voting for other administrative business of TG8 shall occur as described above for co-chair elections with the exception of quorum requirements. For administrative votes at meetings, a quorum consists of TG8 members present or voting electronically, and no advance notice of the vote is required.

Voting for matters of technical review and advice shall take place at an X12 trimester meeting or electronically. A quorum is the TG8 members present or voting electronically. The co-chairs shall attempt to reach consensus, defined as the acceptance of the position by all present. If consensus cannot be reached, or if a member of TG8 requests a formal vote, the vote shall be by show of hands at a meeting or by electronic mail. For such votes, a quorum is the members present or voting electronically, and a simple majority shall determine the result of the vote.

Adoption
This modified charter was adopted by vote of TG8 on October 5, 2000.
This charter shall take precedence over the X12N model charter provisions for task groups except where not covered by this charter.
This further modification was adopted by vote of TG8 on February 6, 2002.
